Chelsea operate near the ceiling of permitted outlays under Uefa financial guidelines.

The club received a £2.6m penalty for earlier breaches, although £1.7m of the fine may be waived if spending falls or income rises by next summer.

Chelsea's overall finances have strengthened since the previous summer when a £26.7m sanction and four-year settlement were imposed.

Last season the club sold players for roughly £300m, a Premier League high, and similar returns are forecast this year.

More than £120m has already been secured from departures while outlays range from £164m to £210m once pre-contract agreements and arrivals such as Rogers and Marco Palestra are counted.

The club views its large squad as an asset that can be monetised when required, with Transfermarkt valuing the group at £1.3bn, second only to Manchester City in England and fourth in Europe.

Chelsea still carry heavy debt, with 2024-25 accounts showing a record £262m loss at club level and £701m at parent-company level, pushing total liabilities above £1bn.

Ownership sources describe the financing model, which relies on third-party loans, as standard in elite sport and aimed at lasting stability, with revenue projected to reach a club-record £700m in upcoming accounts.

Finance expert Kieran Maguire noted that 85 percent of revenue can be spent on player costs under Premier League rules before entering a higher-tax zone, allowing clubs to pay a levy rather than face points deductions if they stay within limits.

After completing the Rogers signing Chelsea continue to seek defensive reinforcements, holding discussions for Crystal Palace's Maxence Lacroix and monitoring John Stones and Jacobo Ramon.

They are also negotiating with Rayo Vallecano for full-back Pep Chavarria, expected to cost £25m to £40m.

These moves follow four pre-agreed signings since January, including Palestra and Rogers, plus a rejected £64m offer for Alex Scott.

Before further additions and with Dastan Satpaev arriving in August, Chelsea hold 38 senior players.

Additional sales are likely, with Benoit Badiashile, Axel Disasi, Trevoh Chalobah and Marc Guiu among those available, while Mamadou Sarr is set for a Premier League loan.

Most others could depart for the right fee, though a core group including Moises Caicedo, Estevao Willian, Cole Palmer, Joao Pedro, Levi Colwill and Josh Acheampong are viewed as untouchable.

Chelsea also missed out on European football, and historical data from similar seasons shows only 13 or 14 players usually play more than 1,500 minutes, highlighting the challenge ahead as Fifa restricts large unused squads.

The central issue is whether the transfers qualify as a swap under Uefa rules.

Uefa guidelines state that multiple player movements between two clubs in either direction within 45 days count as a swap, and deals outside that window may still be linked if contracts connect them.

Tottenham and Brighton completed separate centre-back transfers this summer without triggering scrutiny because they sit well below Uefa thresholds.

Chelsea and Villa, however, must manage trades carefully to meet squad-cost rules and settlement terms.

Rogers' £117m transfer would generate Villa a substantial profit of roughly £80m to £90m after deductions, yet a simultaneous Garnacho sale would be treated as a swap by Uefa given the short timeframe.

A loan with an obligation to buy could still be viewed as connected, while an option to buy is less likely to be classed as a swap unless performance triggers make completion highly probable.

Regulators and clubs would then present arguments on classification.

Maguire observed that Uefa has tightened measures to block convenient swaps that allow both sides to record profits, while Premier League rules remain more flexible, making the sale classification important for Villa's compliance.
