(RTTNews) - Unibail-Rodamco-Westfield SE (URW.PA), a commercial real estate company, on Wednesday announced a conditional agreement to acquire the remaining 50% stake in Westfield UTC from its joint venture partner.

Completion of the transaction hinges on URW's stock price along with standard closing requirements, with finalization anticipated by December 31 at the latest.

The payment for the acquisition, totaling approximately $705 million, will include cash along with as many as 2.6 million freshly issued URW shares.

Specific land areas are not part of this deal and will remain under joint ownership.

URW indicated that the agreement should have a neutral impact on loan-to-value metrics and adjusted recurring earnings per share, while providing a slight boost to net asset value.

The previous day, shares of Unibail-Rodamco-Westfield ended 0.20 percent lower at EUR 97.50 on the Paris bourse.
