/PRNewswire/ -- The Resource Group International Limited ("TRG International" or the "Company") has noted the short order from the Supreme Court of Pakistan ("SCP") that dismissed appeals by Bermuda-based Greentree Holdings Limited ("GTH"), TRG International, and TRG Pakistan Limited ("TRG Pakistan") against a June 2025 Sindh High Court ("SHC") decision. That ruling canceled GTH's 30% stake in the PSX-listed TRG Pakistan, whose main asset is a non-controlling roughly 45% voting interest in TRG International.

The SCP indicated in its order that while judgment was reserved on February 3, 2026, only a short order is being released now, with full reasons forthcoming. As TRG International awaits the detailed judgment to assess its legal and strategic paths forward, it voices profound worry over the short order's seeming effects, which seem to invalidate a foreign investment worth about US$90 million in Pakistan. The firm views this as a stark deviation from standard corporate law principles, sparking major red flags for international investors.

A key fallout from voiding GTH's TRG Pakistan shares would be a major boost in voting power there for Mr. Zia Chishti, the ex-CEO and original petitioner in the SHC case.

TRG International warns that any comeback for Mr. Chishti across the wider TRG ecosystem could trigger severe risks to reputation, governance, business operations, and stakeholders, given past legal battles and arbitration outcomes tied to him. To counter this, the company has established robust governance safeguards and structural barriers to shield its operations, portfolio firms, and assets regardless of TRG Pakistan developments.

TRG Pakistan owns a non-controlling stake in TRG International. Meanwhile, Mr. Chishti's TRG International shares entered receivership following a January 2026 Supreme Court of Bermuda ruling. Thus, TRG International stays assured in its solid governance setup and the capacity of its board, leadership, and stakeholders to defend the enterprise's and portfolio companies' enduring value.

In the last three years, TRG International and affiliates have triumphed in various U.S. and Bermuda arbitrations and court cases against Mr. Chishti, covering issues like TRG Pakistan share pledges, creditor actions, asset protection, and the reach of releases plus his claims.
