JND Legal Administration announced that a proposed settlement has been reached in a stockholder class action pending in the Court of Chancery of the State of Delaware. The case, Sean Murray v. Joseph Moglia et al., centers on claims related to FG New America Acquisition Corp. Class A common stock held as of the July 14, 2021 redemption deadline at 5:00 p.m. ET.

The settlement totals 13 million dollars in cash and would resolve all claims in the action if approved. The court has scheduled a settlement hearing for September 10, 2026 at 1:30 p.m. before Vice Chancellor Paul A. Fioravanti. The hearing will address final certification of the class, approval of the settlement as fair and reasonable, dismissal of the action with prejudice, and related matters including any fee awards.

The class includes all record and beneficial holders of FGNA Class A common stock as of the redemption deadline who did not redeem all or some of their shares. Exclusions apply to defendants, their immediate families, affiliates, and certain related entities. The class is structured as a non-opt-out class under Delaware Court of Chancery Rules 23(a), 23(b)(1), and 23(b)(2).

Proofs of claim must be submitted online or received by mail no later than October 12, 2026 to participate in any distribution of the net settlement fund on a pro rata basis.

Objections to the settlement, plan of allocation, or fee application must be filed with the Register in Chancery and delivered to counsel so they are received no later than August 26, 2026. Updates on the hearing will be posted to the settlement website. All questions should be directed to the administrator or plaintiff's counsel rather than the court.
