This analysis underscores their expanding portion of industry assets along with evolving business approaches, notably in product composition, investment focus, and increased reinsurance utilization.

It spotlights how asset managers, investment funds, and private investor groups have grown more engaged in life insurance and annuity operations.

Recent years have witnessed numerous life insurer acquisitions, strategic alliances, and investment management deals involving private investment firms. These moves highlight the key position privately-owned insurers now hold within the U.S. life insurance industry.

This change stems from chances to oversee insurance company investments, broaden revenue sources, purchase life insurance entities at attractive valuations, and reinsure portfolios of existing life insurance and annuities from firms seeking to exit select lines.

ALIRT's findings show the estimated count of privately-owned life insurers rose from just 16 in 2011 to 93 by the close of 2025. Their portion of total invested assets in the industry climbed from $85 billion (2.5%) to nearly $1.2 trillion (19.8%) during this span, while direct premiums increased from $10 billion to $161 billion. These insurers have primarily entered via purchases of existing firms or business blocks and/or through reinsurance tactics, frequently with foreign partners, to enhance capital and earnings.

Privately-owned insurers have concentrated on spread-based offerings, especially fixed and fixed indexed annuities, applying investment tactics with greater emphasis on asset-backed securities and private bonds. This has produced higher net investment yields than the industry norm. Although these insurers use higher asset leverage and rely more on reinsurance, their risk-based capital ratios and profitability measures stay broadly comparable to the wider sector.

The report further observes that, despite industry concerns, policyholder safeguards stay unchanged with ownership shifts and legal claims for policy benefits remain linked to the issuing insurer rather than the parent entity. Put differently, regardless of ownership structure, final claims-paying capacity rests with the issuing carrier.

ALIRT's report determines that privately-owned insurers are fueling expansion and fresh ideas in the field. While their methods bring new risks, especially around investment complexity and liquidity, their flexibility and achievements have shaped the larger industry. Regulatory authorities continue watching these trends, yet no significant legal or regulatory shifts have so far slowed private group activity in the U.S. life insurance market.
